Terms and Conditions
Last updated: 3 November 2026
These Terms apply when you use the xbrl2json service at xbrl2json.com, including its website, API and MCP endpoint (the "Service"). The Service is provided by Rapid Agentic Development Ltd ("we", "us", "our"). By creating an account or using the Service you agree to these Terms. If you don't agree, please don't use the Service. Our Privacy Policy explains how we use personal data.
1. About us
Rapid Agentic Development Ltd is a company registered in England and Wales (company number 17458231). Our registered office is 181 Coniscliffe Road, Darlington, DL3 8DE. We provide the Service. Paid plans are sold to you through Link, LLC, Stripe's Managed Payments service (see section 11). We are not registered for VAT; VAT on a paid plan is charged and accounted for by Link, LLC.
- Help with the Service: the Contact Us page.
- General enquiries: [email protected].
- Legal notices and privacy: [email protected].
2. Words we use
- "Content": the XBRL and iXBRL files you upload.
- "Output": the JSON, extracted facts and other data the Service produces from your Content.
- "Free plan": the unpaid plan.
- "Paid plan": a Starter or Pro subscription.
- "Link": Link, LLC, which runs Link, Stripe's Managed Payments service, and sells paid plans as the seller of record.
3. Your account
- You must be at least 16 and able to enter into a binding agreement.
- Give accurate details when you register and keep them up to date. You must confirm your email address before you can sign in.
- Keep your password secret. We recommend turning on two-step sign-in.
- You are responsible for everything done through your account.
- Tell us straight away if you think someone else has used your account.
4. API keys
- Each API key belongs to the account holder who created it. Anything done with a key counts as done by that account.
- Keep your keys secret. Don't publish them, and don't share them with anyone you haven't authorised to use your account.
- We store only a one-way hash of each key, so we can't show it to you again. If a key is lost or may have leaked, revoke it and create a new one.
- API use counts towards your plan's monthly allowance and is subject to rate limits (see the API documentation). Requests over a limit are refused with a "429 Too Many Requests" response.
5. Plans and limits
- We offer a Free plan and the Starter and Pro paid plans. Each plan's features and limits (uploads per month, maximum file size, storage, how long results are kept, API access and monthly API requests) are shown on the Help page and, when you're signed in, on the Billing page.
- Upload size: the largest file you can upload is your plan's limit, and never more than 50 MB.
- We may change the Free plan's limits at any time. If we reduce what a paid plan includes, we'll tell you at least 30 days before the change applies to you, and you can cancel before then.
6. Acceptable use
You must not:
- upload malware or any file designed to harm computer systems. Every upload is virus-scanned, and files the scanner flags are rejected and deleted;
- upload documents you don't have the right to process;
- get around usage limits, rate limits or access controls, for example by opening extra accounts;
- probe or test the Service's security without our written permission, or disrupt the Service or other users;
- reverse-engineer the Service, or scrape it other than through the API;
- use the Service for anything unlawful.
If you break these rules we may suspend or close your account (see section 13).
7. What the Service does
You upload XBRL or iXBRL documents, the Service converts them to structured JSON, and you can then inspect, search, filter and download the data, on the website or through the API. Conversion uses Arelle, open-source XBRL software that we run on our own servers. Your documents are not sent to any third-party conversion or AI service.
8. Check the Output before you rely on it
- The Service is a data-conversion tool. It does not give financial, accounting, tax, legal or investment advice.
- Output can contain errors or gaps, for example because of a badly formed source document, a taxonomy change, a limitation of the parser or a software fault.
- You must check the Output against the original filing before you rely on it for any financial, regulatory or other decision.
9. Availability
- We work to keep the Service running, but we don't guarantee that it will always be available or free of errors, unless your plan says otherwise. No plan currently includes an uptime guarantee or service level agreement.
- We may take the Service offline for maintenance, without notice in an emergency.
- We may pause new sign-ups or sales of paid plans at any time.
- We may change or remove features. If a change significantly reduces what your paid plan includes, section 5 applies.
- If we close the Service permanently, we will give at least 30 days' notice where we can, and refund any fees you have paid for the time after it closes.
10. Your Content and how long we keep it
- You keep ownership of your Content and Output.
- You give us permission to store, scan, convert and transmit your Content, only to provide the Service to you.
- On the Free plan, uploaded files are deleted once the conversion succeeds, or 7 days after upload if it fails. On a paid plan, files are kept until you delete them. If your paid plan ends, the files you saved during it are deleted 90 days later unless you subscribe again.
- Conversion results are deleted automatically when your plan's result retention period ends. When a paid plan ends, the Free plan's retention period applies, and older results are deleted, so download anything you need before your plan ends.
- The Privacy Policy (section 7) gives the full retention details.
- We back up only our database, and only to restore the Service after a failure. Uploaded files and JSON result files are not backed up, so we can't recover them once they are deleted. Keep your own copies of anything important.
11. Paid plans and payment
- Who sells your paid plan: paid plans are sold through Link, LLC, 354 Oyster Point Boulevard, South San Francisco, California 94080, United States (GB VAT number GB432218330), which runs Link, Stripe's Managed Payments service. Link, LLC is the seller of record for your payment; checkout shows this as "Sold through Link". We, Rapid Agentic Development Ltd, provide the Service itself, under these Terms.
-
What Link does: Link works out, charges and pays any VAT or sales tax due,
sends your receipts and invoices (they come from Link, not from us), and handles payment
questions and disputes. Charges appear on your card statement beginning
LINK.COM*. Link's own terms and privacy policy apply to the payment, and Stripe's apply to its processing of it. - Paid plans are billed monthly in advance. Your subscription starts when you complete payment at checkout and renews automatically each month until you cancel.
- Prices are set in pounds sterling (GBP) and shown before you pay. At checkout they may be shown, and charged, in your local currency. We never see or store your card details.
- Prices and VAT: Prices shown for UK customers include VAT. VAT is charged and accounted for by Link, LLC (GB VAT GB432218330) as the seller of record. Customers outside the UK may see tax added at checkout according to their location.
- You can manage your subscription and payment methods on the Billing page, or at link.com.
- Changing plan: you can switch between paid plans from the Billing page. The change takes effect straight away. The difference for the rest of the current month is charged immediately, or credited against your future invoices if you move to a cheaper plan.
- Price changes: we'll email you at least 30 days before a new price applies to you. It applies from your first renewal after that notice period, and you can cancel before then.
- Failed payments: if a renewal payment fails, it is retried and you keep your paid features while that happens. If the payment still fails, your paid features stop: your plan ends, or your account is suspended until the amount owed is paid.
12. Cancelling and refunds
- You can cancel at any time from the Billing page or at link.com. Cancellation takes effect at the end of your current billing period. You keep your paid features until then and won't be charged again. You can undo the cancellation before the period ends.
- When the period ends, your account moves to the Free plan.
- We don't give refunds or partial refunds for unused parts of a billing period, except where the law requires, including your 14-day right below, or where these Terms say so (sections 9, 18 and 21).
- Asking for a refund: ask us at [email protected], or ask Link's support. Refunds are paid through Link to the payment method you used. Link may also give refunds under its own policy, in some cases within 60 days of a payment. Our refund commitments in these Terms apply whichever way you ask.
- Deleting your account cancels your subscription immediately rather than at the end of the period. No refund is due for the rest of that period, except where the law requires.
Your 14-day right to cancel (consumers only)
- If you are a consumer, you can cancel a new paid subscription within 14 days of the day you buy it, without giving a reason, and get a full refund.
- To do this, tell us within the 14 days: email [email protected] or use the Contact Us page, giving the email address on your account. You can also ask Link's support. Cancelling on the Billing page only stops your subscription renewing, so please also tell us that you want a refund.
- We will arrange your refund within 14 days of hearing from you. It is paid through Link to the payment method you used.
13. Suspending or closing accounts
- We may suspend or close your account if you break these Terms, don't pay, or put the Service or other users at risk. Where it's reasonable, we'll warn you first and tell you why.
- You can close your account at any time from Account → Personal data. Section 8 of the Privacy Policy explains what happens to your data.
- Sections 8, 10, 15, 16 and 20 continue to apply after your account closes.
14. Intellectual property
All rights in the Service's software, design, logos and documentation belong to us or our licensors. Open-source components are used under their own licences, listed on the Open-Source Credits page. These Terms don't give you any right to use our name, logos or branding.
15. Our liability to you
- What we never limit. Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else the law doesn't allow us to limit or exclude.
- If you are a consumer: we are responsible for loss or damage you suffer that is a foreseeable result of our breaking these Terms or failing to use reasonable care and skill. We are not responsible for loss that wasn't foreseeable. If you use the Service for business purposes, we are not liable to you for loss of profit, loss of business or loss of business opportunity. Your legal rights, including those under the Consumer Rights Act 2015, are not affected.
-
If you are a business customer:
- we are not liable for loss of profits, revenue, business, contracts, goodwill or anticipated savings, for loss or corruption of data, or for any indirect or consequential loss;
- we are not liable for loss arising from your reliance on Output that you didn't check (section 8);
- our total liability for all claims arising out of or in connection with these Terms or the Service is limited to the greater of the fees you paid us in the 12 months before the claim arose and £100;
- all terms implied by law are excluded, to the extent the law allows, except as these Terms set out.
- Events outside our control. We are not responsible for delays or failures caused by events beyond our reasonable control (see section 18).
16. Indemnity (business customers only)
If you are a business customer, you will cover our losses and reasonable legal costs arising from any claim brought against us by someone else because of your Content, your use of the Service in breach of these Terms, or your infringement of someone else's rights.
17. Changes to these Terms
- If we make a significant change, we'll email the address on your account and post a notice on the site at least 14 days before it takes effect. If you don't agree, you can cancel your subscription or close your account before then. If you keep using the Service after the change takes effect, the new Terms apply.
- We may make small changes, such as corrections, clarifications or changes the law requires, without notice.
- The date at the top of this page shows when these Terms last changed.
18. Events outside our control
We are not responsible for failures or delays caused by events beyond our reasonable control, such as natural disasters, war, terrorism, pandemics, power or internet outages, government action, or failures at the providers we rely on. If such an event affects a paid plan for more than 30 days, you can cancel and get a refund for any period you have paid for but not received.
19. Services we rely on
We use IONOS for hosting, Cloudflare to deliver and protect the site (including the Turnstile bot check on some forms), Fasthosts for our outgoing mail server and our log server, and Link, LLC (Stripe's Managed Payments service) and Stripe for payments. The Privacy Policy explains what each provider handles.
20. Law and courts
These Terms are governed by the law of England and Wales, and the courts of England and Wales deal with any dispute. If you are a consumer living in Scotland or Northern Ireland, you can also bring proceedings in your local courts.
21. General
- We may transfer our rights and obligations under these Terms to another organisation. We'll tell you if we do, and if you are unhappy you can cancel and get a refund for any period you have paid for but not received.
- If a court finds part of these Terms unenforceable, the rest still applies.
- If we don't enforce a right straight away, we can still enforce it later.
- No one else has rights under these Terms.
- For business customers, these Terms and the Privacy Policy are the whole agreement between us about the Service.
22. Contact
For questions about these Terms, email [email protected]. For help with the Service, use the Contact Us page.
